Commercial Law Order Description Question: Weddin" rel="nofollow">ing Planners Ltd are plannin" rel="nofollow">ing lookin" rel="nofollow">ing to buy stock ready for the summer weddin" rel="nofollow">ing season. They enter in" rel="nofollow">in to the followin" rel="nofollow">ing transactions: (a) A contract with Classic Cars Co for 1 vin" rel="nofollow">intage Aston Martin" rel="nofollow">in (b) A contract with Weds Supplies Ltd for 150 chair covers (c) A contract with Music Bliss Plc for a DJ equipment set (d) A contract with a Paper Distributors Ltd for the supply of 1,000 sheets of high gloss paper to be made in" rel="nofollow">in to confetti Weddin" rel="nofollow">ing Planners Ltd go in" rel="nofollow">insolvent havin" rel="nofollow">ing not paid for the goods and are faced with the followin" rel="nofollow">ing competin" rel="nofollow">ing legal claims to the goods: (1) In respect of the vin" rel="nofollow">intage Aston Martin" rel="nofollow">in, it has been driven several times to various weddin" rel="nofollow">ings. However, it transpires that Classic Cars Co did not have the right to sell the goods under the terms of their Hire Purchase agreement with Vin" rel="nofollow">intage Astons Ltd. Vin" rel="nofollow">intage Astons Ltd are claimin" rel="nofollow">ing ownership of the car. (2) The 150 chair covers are yet to be delivered. They are still stored in" rel="nofollow">in Weds Supplies Ltd warehouse with all the company’s other stock of weddin" rel="nofollow">ing chair covers. The goods had been marked up for delivery to Weddin" rel="nofollow">ing Planners Ltd. Weds Supplies are claimin" rel="nofollow">ing ownership of the chair covers. (3) Weddin" rel="nofollow">ing Planners Ltd are contacted by Eric, a local DJ, who tells them that the DJ set was sold to a buyer who paid with a fake cheque. It transpires that Music Bliss Plc was not a real company. Eric explain" rel="nofollow">ins that he sold the DJ set at his home to someone claimin" rel="nofollow">ing to be in" rel="nofollow">international DJ David Guette. Eric is claimin" rel="nofollow">ing ownership of the DJ set. (4) The contract with Paper Distributors Ltd contain" rel="nofollow">ined a retention of title clause that all paper was to remain" rel="nofollow">in the property of Paper Distributors Ltd until all monies had been paid. When Paper Distributors Ltd look to seize their property it is discovered that 500 sheets have already been cut up and made in" rel="nofollow">in to confetti. The other half remain" rel="nofollow">ins in" rel="nofollow">in Weddin" rel="nofollow">ing Planners Ltd warehouse mixed with 500 sheets from another supplier. Paper Distributors Ltd are claimin" rel="nofollow">ing ownership of the paper. Advise Weddin" rel="nofollow">ing Planners whether they can claim ownership over the disputed goods and any remedies they might have again" rel="nofollow">inst the sellers where they cannot.
